These Terms & Conditions (“Terms”) govern your access to and use of the Resellers website, platform, and services.

By accessing or using ResellersZA, you agree to be bound by these Terms and all related policies.

1. Definitions

• “Platform” refers to the Resellers website and services
• “User” refers to any visitor, buyer, seller, or registered account holder
• “Seller” refers to any user listing products for sale
• “Buyer” refers to any user purchasing products
• “Commission” refers to the fee earned by Resellers per completed sale

2. Platform Role & Business Model

Resellers operates as a commission-based online marketplace platform.

• Independent sellers list and sell products directly to buyers
• Buyers transact with sellers, not with Resellers
• Resellers provides platform technology, payment flow, and marketplace rules
• Resellers earns revenue primarily through platform commission

Resellers does not own or control third-party seller inventory.

3. When Resellers Sells Its Own Products

In some cases, Resellers may list and sell products directly.

• Such listings are clearly marked as “Sold by Resellers”
• For these transactions, Resellers acts as the seller and assumes seller responsibilities
• These Terms still apply unless stated otherwise

4. Account Registration

To access certain features, users must create an account.

Users agree to:

• Provide accurate and complete information
• Keep login credentials secure
• Accept responsibility for all activity under their account

Resellers may suspend or terminate accounts that violate these Terms.

5. Seller Registration & Approval

• Seller access is subject to approval
• Resellers may approve, reject, suspend, or terminate sellers at its discretion
• Sellers must comply with the Seller Policy and applicable laws

False or misleading information may result in termination without payout.

6. Listings & Platform Use

• Sellers are responsible for listing accuracy and legality
• Listings must comply with platform rules
• Resellers may remove or restrict listings at any time

Approval of a listing does not imply verification or endorsement.

7. Pricing, Commission & Fees

• Sellers set their own prices
• Resellers charges a commission per completed transaction
• Commission rates are displayed in the Seller Dashboard or seller agreement
• Seller earnings are calculated after commission deductions

Affiliate rewards (if applicable) are paid only from Resellers’s commission and never reduce seller earnings.

8. Payments, Wallets & Payouts

• Payments are processed via third-party payment providers
• Seller earnings are credited to seller wallets
• Withdrawals may be subject to verification and minimum thresholds

Certain payment methods (e.g. Digital COD or bank transfer) may involve delayed confirmation.

Resellers is not responsible for delays caused by banks or payment providers.

9. Buyer Protection & Refunds

Resellers provides a Buyer Protection framework to assist with disputes.

However:

• Buyer Protection does not replace seller responsibility
• Refunds are not guaranteed in all cases
• Decisions depend on evidence and policy compliance

Refunds may be processed to:

• Original payment method, or
• User wallet (where applicable)

10. Off-Platform Transactions

If users choose to transact outside the Resellers platform:

• The transaction is not covered by Buyer Protection
• Resellers is not responsible for disputes, losses, or fraud
• Off-platform transactions are done entirely at the user’s own risk

Users are strongly encouraged to transact within the platform.

11. Prohibited Conduct

Users may not:

• Circumvent platform fees
• Engage in fraud, abuse, or misleading activity
• Create fake accounts or transactions
• Harass other users or staff
• Misuse platform systems or features

Violations may result in suspension or termination.

12. Intellectual Property

All platform content, branding, and software belong to Resellers or its licensors.

Users may not copy, modify, or distribute platform content without permission.

13. Limitation of Liability

To the maximum extent permitted by law, Resellers is not liable for:

• Seller conduct or product issues
• Delivery failures or delays
• Off-platform transactions
• Indirect or consequential losses

This does not apply where prohibited by law.

14. Disclaimer of Warranties

The platform is provided “as is” and “as available”.

Resellers does not guarantee uninterrupted or error-free service.

15. Suspension & Termination

Resellers may suspend or terminate accounts:

• With or without notice
• For policy violations
• For legal or risk reasons

Pending balances linked to violations may be withheld.

16. Policy Integration & Hierarchy

These Terms operate together with:

• Seller Policy
• Buyer Protection & Refund Policy
• Affiliate Policy
• Marketplace Disclaimer
• Privacy Policy

If there is a conflict, these Terms & Conditions prevail, unless stated otherwise.

17. Changes to Terms

Resellers may update these Terms at any time.

Continued use of the platform constitutes acceptance of the updated Terms.

18. Governing Law

These Terms are governed by the laws of the Republic of South Africa, unless otherwise required by applicable law.
